Transfer of Right of Occupancy in Tanzania: Process & Requirements
As a business or individual in Tanzania, acquiring property from another party requires more than just a handshake — it must be done legally and properly. Transferring the Right of Occupancy ensures the new owner has full, conflict-free rights to enjoy and develop the property.
What is a Transfer of Right of Occupancy?
A transfer (or disposition) is the legal process that changes the ownership of the Right of Occupancy from one person, group, company, institution, or organization to another.
Transfers can happen in various ways, including:
- Ordinary sales
- Public auctions or tenders
- Gifts (natural love and affection)
Under Section 37 of the Land Act No. 4 of 1999, the Commissioner of Lands (or an authorized land officer) must consent to any transfer of property.
Key Requirements for Transfer Approval
1️⃣ Grant Approval of Disposition — For Individuals
When transferring to or from an individual, you must submit:
- The original Certificate of Right of Occupancy (or letter of offer if no certificate has been issued)

- The original payment receipt for the letter of offer and acknowledgement of payment (if the title is not yet released)
- Two identical passport-size photos of each party involved
- Proof of citizenship for both parties (foreigners cannot own land in Tanzania except through derivative rights): birth certificate, passport, national ID card, or certified affidavit of birth
- At least three original copies of the sale agreement
- A valuation report prepared by a government valuer and approved by the Chief Valuer, plus proof of valuation fees paid
- For properties under TZS 100 million, the fee is TZS 20,000
- For properties above TZS 100 million, it’s 0.02% of the market value (excluding the valuer’s consultation fees)
- Receipt of annual land rent payment for the relevant financial year
- Land Form No. 29 (Notification of Transfer)
- Land Form No. 30 (Application for Transfer Approval)
- Land Form No. 35 (Transfer Deed)
- Payment receipt for application fees (as of 2025: Notification of Disposition — TZS 40,000; Grant Consent of Disposition — TZS 80,000)
- Spouse consent (if applicable) and official search results
2️⃣ Transfer from Individual to Entity
When transferring to a company, partnership, or group, submit all individual requirements plus:
- Certificate of registration for the company, group, or partnership
- Memorandum and Articles of Association (for companies) or Constitution (for partnerships or trusts)
- Company annual returns or shareholding information
- Administrator General’s approval if it involves trustees
- Certified citizenship proof for majority shareholders
- Board or trustee resolution approving the acquisition/disposal
3️⃣ Transfer to a Foreign Embassy
- All requirements in Part 1
- Acknowledgement letter from the Ministry of Foreign Affairs and International Cooperation showing non-objection
4️⃣ Transfer to Non-Citizens
Foreign individuals can’t directly own land but can acquire a Derivative Right through the Tanzania Investment Center (TIC):
- All requirements in Part 1
- Certificate of Incentive from TIC
- TIC will hold the Right of Occupancy and issue a Derivative Right to the non-citizen investor
5️⃣ Transfer Under Power of Sale (Auction or Tender)
When property is sold via auction or tender:
- Meet all requirements in Part 1 (except the valuation report and sale contract)
- Provide newspaper advertisements for tenders or auctions
- Certificate of Sale from the auctioneer
- Letter of Award for the successful bidder
6️⃣ Transfer by Successor in Title (Inheritance)
For transfers via inheritance:
- Complete probate court proceedings first
- Submit court Forms I–VI, proof of heirs’ consent, and citizenship documents
- If the property has a certificate of title: submit an application to the Registrar of Titles with the Certificate of Title and the Application by Legal Personal Representative
- If the property has a letter of offer: the administrator must apply for recognition by the Regional Land Commissioner or Authorized Land Officer
- Heirs must provide written consent and a sworn oath to approve the disposition
- All transaction documents must state that the transferor is a Legal Personal Representative
Step-by-Step Submission and Final Registration
Once all documents are ready:
1️⃣ The Commissioner of Lands or an Authorized Land Officer reviews the documents and issues the transfer approval if there are no restrictions or objections.
2️⃣ After approval, pay Stamp Duty — 1% of whichever is greater: the sale price or market value per valuation report.
3️⃣ Submit the original payment receipt. The Commissioner then issues the Consent of Disposition.

4️⃣ Next, submit all transfer documents to the Tanzania Revenue Authority (TRA) for Capital Gain Tax clearance:
- Residents pay 10% of the gain
- Non-residents pay 20% of the gain
- If the seller cannot prove original cost, a 3% tax applies to the total sale amount (per Section 90(1) of the Income Tax Act)
5️⃣ Once the Capital Gain Tax Clearance Certificate is issued, submit it — along with all transfer documents — to the Registrar of Titles for final registration.
- Registration fee: 1% of whichever is higher — the sale price or market value
- For transfers under power of sale: 2% of the sale price
6️⃣ The final step is to complete and submit Form LR 66 to the Registrar of Titles with the relevant title number and supporting documents.
After registration is completed, the new Certificate of Right of Occupancy is issued in the transferee’s name.
If the property only had a letter of offer, the new Certificate of Right of Occupancy will be prepared and issued by the Commissioner of Lands, municipal, or city office.
